By installing or using GRIDWERK, you agree to these terms. If you don't, don't use the app.
License
GRIDWERK is licensed, not sold. We grant you a non-exclusive, non-transferable license to install and use the app on devices you own or control. The free tier is free to use indefinitely; the Pro tier requires an active subscription.
Your content
You own everything you create or import: your audio files, projects, lyrics, samples, presets, exports. We claim no ownership over them. We don't access, store, or process them on our servers (see our Privacy Policy).
Sample clearance & copyright
The Sample Clearance feature is a tracking and reminder tool — it doesn't grant or verify legal clearance for any sample. You are solely responsible for clearing samples, paying mechanical royalties, and complying with copyright law in your jurisdiction. GRIDWERK is not a substitute for legal advice.
Pro subscription
- Billed monthly or annually. Prices shown on the pricing page are exclusive of any local taxes that may apply at checkout.
- You can cancel any time. Access continues through the end of your paid period.
- We do not auto-renew without notice; you will receive a reminder before each annual renewal.
EU / UK statutory cooling-off period
If you are a consumer in the European Union or United Kingdom, you have a statutory right to withdraw from a digital purchase within 14 days of subscribing, under EU Consumer Rights Directive 2011/83/EU (and its UK equivalent). This right is forfeited only if you expressly consent to immediate access and acknowledge that doing so waives the cooling-off period — which you are asked to do at checkout. To withdraw, email [email protected] within 14 days.
Refunds (outside the cooling-off period)
Outside the statutory cooling-off period, refunds are at our discretion. We will generally refund unused time on annual subscriptions if requested in good faith within the first 30 days.
Third-party services
Optional integrations (Spotify, YouTube, SoundCloud, ByrddDrive) are governed by each service's own terms. We're not responsible for changes, outages, or rate-limiting of those services. If a third-party service becomes unavailable, the corresponding feature in GRIDWERK may stop working.
No warranty
To the maximum extent permitted by law, GRIDWERK is provided "as is" — we make no guarantees of fitness for a particular purpose, uptime, or freedom from defects. Music production tools have edge cases. We strongly recommend keeping backups of any project you can't afford to lose, regardless of what tool produced it. Nothing in this section limits any warranty rights you have under mandatory consumer protection law in your jurisdiction.
Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from your use of GRIDWERK is limited to the amount you've paid us in the 12 months preceding the claim. We are not liable for any indirect, consequential, or incidental damages (including loss of work, revenue, or reputation). This limitation does not exclude or limit liability that cannot lawfully be excluded under applicable consumer law (for example, liability for death, personal injury caused by our negligence, or fraud).
Acceptable use
You agree not to use GRIDWERK to:
- Process audio you don't have the legal right to use.
- Reverse engineer, decompile, or extract trade secrets from the app, except where this right is granted by mandatory law (e.g. for interoperability under EU Software Directive 2009/24/EC Art. 6).
- Resell or redistribute the app or its license keys.
- Bypass the Pro tier license check.
Open source
GRIDWERK includes open-source components — see Acknowledgements in the app's About dialog for the full list and licenses. Those components remain governed by their original licenses.
Governing law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Disputes arising under these terms shall be brought in the state or federal courts located in Delaware. Nothing in this clause deprives you of the protections of mandatory consumer law in your country of residence: EU and UK consumers retain the right to bring proceedings in their local courts.
Changes
We may update these terms as the product evolves. Material changes will be announced via the app's release notes and the Last Updated date above. Continued use after a change means acceptance.
